JB Silks operates this store and website, including all related information, content, features, tools, products and services in order to provide customers with a curated shopping experience (the "Services"). JB Silks is powered by Shopify, which enables JB Silks to provide the Services.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe the rights and responsibilities of customers when using the Services.

Please read these Terms of Service carefully, as they include important information about legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using the Services, the customer agrees to be bound by these Terms of Service and the JB Silks Privacy Policy. If the customer does not agree to these Terms of Service or Privacy Policy, the customer should not use or access the Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, the customer represents that they are at least the age of majority in their state or province of residence, and has given consent to allow any minor dependents to use the Services on devices they own, purchase or manage.
To use the Services, including accessing or browsing the JB Silks online store or purchasing any products or services offered, the customer may be asked to provide certain information, such as an email address, billing, payment, and shipping information. The customer represents and warrants that all information provided is correct, current and complete and that they have all rights necessary to provide this information.
The customer is solely responsible for maintaining the security of their account credentials and for all account activity. Accounts may not be transferred, sold, assigned, or licensed to any other person.

SECTION 2 - PRODUCTS
JB Silks has made every effort to provide an accurate representation of products and services in the online store. However, colors or product appearance may differ from how they appear on screen due to the type of device used to access the store and its settings and configuration.
JB Silks does not warrant that the appearance or quality of any products or services purchased will meet customer expectations or be the same as depicted or rendered in the online store.
All descriptions of products are subject to change at any time without notice at JB Silks' sole discretion. JB Silks reserves the right to discontinue any product at any time and may limit the quantities of any products offered to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - FABRIC SUITABILITY
It is the customer's responsibility to verify fabric color and suitability for a given application prior to placing an order. This can easily be achieved by purchasing a sample or a ½-yard cut prior to placing an order for a larger quantity. No photo can capture the feel of the fabric. A ½-yard cut is an inexpensive way to test processes such as washing, drying, sewing, and dyeing prior to investing larger amounts of time and money. JB Silks makes no warranty, expressed or implied, including but not limited to the merchantability or fitness for a particular purpose of the goods. Since no fabric is 100% colorfast to crocking, washing, or dry cleaning under all conditions, JB Silks cannot be responsible for consequential damages.

SECTION 4 - ORDERS
When a customer places an order, they are making an offer to purchase. JB Silks reserves the right to accept or decline any order for any reason at its discretion. An order is not accepted until JB Silks confirms acceptance. Payment must be received and processed before an order is accepted. Customers should review their order carefully before submitting, as JB Silks may be unable to accommodate cancellation requests after an order is accepted. In the event that JB Silks does not accept, makes a change to, or cancels an order, JB Silks will attempt to notify the customer by contacting the email address, billing address, and/or phone number provided at the time the order was made.
Purchases are subject to return or exchange solely in accordance with the JB Silks Return Policy outlined in Sections 31 through 34.

SECTION 5 - USE AND RESALE OF PRODUCTS
The customer represents and warrants that purchases may be used for lawful purposes, including commercial resale, incorporation into finished goods, or export, subject to compliance with all applicable laws and regulations. The customer further agrees not to engage in any activities that would harm the reputation or brand of JB Silks, including unauthorized modification, misrepresentation, or distribution of counterfeit products.

SECTION 6 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in the order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.
Prices posted in the JB Silks online store may be different from prices offered in physical stores or in online or other stores operated by third parties. JB Silks may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
The customer agrees to provide current, complete and accurate purchase, payment and account information for all purchases. The customer agrees to promptly update account and other information, including email address, credit card numbers and expiration dates, so that JB Silks can complete transactions and make contact as needed.
The customer represents and warrants that (i) the credit card information provided is true, correct, and complete, (ii) the customer is duly authorized to use such credit card for the purchase, (iii) charges incurred will be honored by the customer's credit card company, and (iv) the customer will pay charges incurred at the posted prices, including shipping and handling charges and all applicable taxes, if any.

SECTION 7 - SHIPPING AND DELIVERY
JB Silks is not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. JB Silks is not responsible for delays caused by shipping carriers, customs processing, or events outside its control. Once JB Silks transfers products to the carrier, title and risk of loss passes to the customer. Customers should inspect all shipments immediately upon receipt.
Once a shipment has been confirmed as delivered by the carrier, JB Silks assumes no responsibility for damage resulting from the customer's failure to retrieve the package in a timely manner, or from improper storage following delivery. This includes, but is not limited to, damage caused by exposure to rain, moisture, extreme temperatures, or other environmental conditions. Silk fabric that has been damaged due to improper post-delivery handling or storage is not eligible for return, refund, or exchange.

SECTION 8 - INTELLECTUAL PROPERTY
The Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by JB Silks, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.
These Terms permit the customer to use the Services for personal, non-commercial use only. The customer must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without prior written consent from JB Silks. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights under any patent, trademark, copyright, or other intellectual property of JB Silks, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by JB Silks.
JB Silks' names, logos, product and service names, designs, and slogans are trademarks of JB Silks. These trademarks must not be used without the prior written permission of JB Silks. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 9 - OPTIONAL TOOLS
Customers may be provided with access to tools offered by third parties as part of the Services, which JB Silks neither monitors nor has any control over or input into.
Customers acknowledge and agree that JB Silks provides access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. JB Silks shall have no liability whatsoever arising from or relating to the use of optional third-party tools.
Any use of the optional tools offered through the site is entirely at the customer's own risk and discretion. Customers should ensure that they are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
JB Silks may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

SECTION 10 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third-party functionality). JB Silks is not responsible for examining or evaluating the content or accuracy of any third-party materials or websites customers choose to access. If a customer decides to leave the Services to access these materials or third-party sites, they do so at their own risk.
JB Silks is not liable for any harm or damages related to a customer's access of any third-party websites, or their purchase or use of any products, services, resources, or content on any third-party websites. Customers should carefully review the third-party's policies and practices before engaging in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.

SECTION 11 - RELATIONSHIP WITH SHOPIFY
JB Silks is powered by Shopify, which enables JB Silks to provide the Services. However, any sales and purchases made in the JB Silks store are made directly with JB Silks. By using the Services, the customer acknowledges and agrees that Shopify is not responsible for any aspect of any sales between the customer and JB Silks, including any injury, damage, or loss resulting from purchased products and services. The customer hereby expressly releases Shopify and its affiliates from all claims, damages, and liabilities arising from or related to purchases and transactions with JB Silks.

SECTION 12 - PRIVACY POLICY
All personal information collected through the Services is subject to the JB Silks Privacy Policy, which can be viewed here, and certain personal information may be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, the customer acknowledges that they have read these privacy policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about access to and use of the Services in order to provide and improve the Services. Information submitted to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries, in order to provide services. Review the JB Silks Privacy Policy here for more details on how JB Silks, Shopify, and partners use personal information.

SECTION 13 - FEEDBACK
If a customer submits, uploads, posts, emails, or otherwise transmits any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), the customer grants JB Silks a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use.
The customer also represents and warrants that: (i) they own or have all necessary rights to all Feedback; (ii) they have disclosed any compensation or incentives received in connection with the submission of Feedback; and (iii) the Feedback will comply with these Terms. JB Silks is under no obligation (1) to maintain Feedback in confidence; (2) to pay compensation for Feedback; or (3) to respond to Feedback.
JB Silks may, but has no obligation to, monitor, edit or remove Feedback that JB Silks determines in its sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or in violation of any party's intellectual property or these Terms of Service.
The customer agrees that Feedback will not violate any right of any third party, including copyright, trademark, privacy, personality or other personal or proprietary right. The customer further agrees that Feedback will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. Customers may not use a false email address, pretend to be someone other than themselves, or otherwise mislead JB Silks or third parties as to the origin of any Feedback. The customer is solely responsible for any Feedback submitted and its accuracy. JB Silks takes no responsibility and assumes no liability for any Feedback posted by any customer or third party.

SECTION 14 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. JB Silks reserves the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after an order has been submitted).

SECTION 15 - PROHIBITED USES
Customers may access and use the Services for lawful purposes only. Customers may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (c) to infringe upon or violate the intellectual property rights of JB Silks or others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any JB Silks employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by JB Silks, may harm JB Silks, Shopify or users of the Services, or expose them to liability.
In addition, customers agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites, or the Internet. JB Silks reserves the right to suspend, disable, or terminate any account at any time, without notice, if JB Silks determines that any part of these Terms has been violated.

SECTION 16 - TERMINATION
JB Silks may terminate this agreement or a customer's access to the Services (or any part thereof) in its sole discretion at any time without notice, and the customer will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 17 - DISCLAIMER OF WARRANTIES
The information presented on or through the Services is made available solely for general information purposes. JB Silks does not warrant the accuracy, completeness, or usefulness of this information. Any reliance placed on such information is strictly at the customer's own risk. JB Silks disclaims all liability and responsibility arising from any reliance placed on such materials by any customer or visitor to the Services, or by anyone who may be informed of any of its contents.
EXCEPT AS EXPRESSLY STATED BY JB SILKS, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. JB SILKS DOES NOT GUARANTEE, REPRESENT OR WARRANT THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY IN ALL CASES.

SECTION 18 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL JB SILKS, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM THE USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO THE USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 19 - INDEMNIFICATION
The customer agrees to indemnify, defend and hold harmless JB Silks, Shopify, and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) the customer's breach of these Terms of Service or the documents they incorporate by reference, (2) the customer's violation of any law or the rights of a third party, or (3) the customer's access to and use of the Services.
JB Silks will notify the customer of any indemnifiable claim, provided that a failure to promptly notify will not relieve the customer of their obligations unless they are materially prejudiced. JB Silks may control the defense and settlement of such claim at the customer's expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from the customer without their consent (not to be unreasonably withheld). The customer will cooperate in the defense of indemnified claims, including by providing relevant documents.

SECTION 20 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 21 - WAIVER; ENTIRE AGREEMENT
The failure of JB Silks to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by JB Silks on this site or in respect to the Services constitute the entire agreement and understanding between the customer and JB Silks and govern the customer's use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 22 - ASSIGNMENT
The customer may not delegate, transfer or assign this Agreement or any rights or obligations under these Terms without prior written consent from JB Silks, and any such attempt will be null and void. JB Silks may transfer, assign, or delegate these Terms and its rights and obligations without consent or notice to the customer.

SECTION 23 - GOVERNING LAW
These Terms of Service and any separate agreements whereby JB Silks provides Services shall be governed by and construed in accordance with the federal and state or territorial courts in the jurisdiction where JB Silks is headquartered. The customer and JB Silks consent to venue and personal jurisdiction in such courts.

SECTION 24 - HEADINGS
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 25 - CHANGES TO TERMS OF SERVICE
The most current version of the Terms of Service can be reviewed at any time on this page.
JB Silks reserves the right, in its sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to the JB Silks website. It is the customer's responsibility to check the website periodically for changes. JB Silks will notify customers of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

SECTION 27 - REGION OF SALE
JB Silks sells and ships products to all 50 states of the USA and to Canada only.

SECTION 28 - TERMS OF PAYMENT
Terms of payment are by credit card or bank transfer only. No order shall be processed by JB Silks until customer payment has been verified. JB Silks will not be responsible for fabric being sold while JB Silks is waiting for payment to be processed. JB Silks is in the business of selling silk fabric — not holding inventory while waiting for a credit card to authorize.

SECTION 29 - ORDER CANCELLATION
Orders may only be cancelled in writing by the purchaser. Cancellation requests must be submitted within 30 minutes of order placement during business hours, as orders enter processing quickly and fabric of any length may be cut shortly after placement. Once fabric has been cut, the order cannot be cancelled, returned, or refunded regardless of quantity. Cancellation requests submitted after this window are at JB Silks' sole discretion and cannot be guaranteed. Orders that have already been cut, processed, or shipped cannot be cancelled.

SECTION 30 - INSPECTION
Upon receiving the fabric, the buyer has 5 business days to notify JB Silks in writing of any visible defects. Fabric delivered will be assumed to be acceptable if: 1) JB Silks is not notified in writing of visible defects within 5 business days, 2) the fabric or a portion thereof is resold or used, or 3) the buyer fails to inspect the fabric. JB Silks is not liable for defects that are within industry-accepted normal standards.

SECTION 31 - RETURNS
JB Silks will not accept a fabric return after the fabric has been cut, used, washed, stained, exposed to perfumes or smoke, stored incorrectly, or has otherwise been processed or damaged in any way. No claims or allowances will be accepted by JB Silks. No return shall be accepted without JB Silks' prior written consent. All authorized returns are subject to receipt and inspection by JB Silks to determine whether the fabric remains in resalable condition, which is at the sole discretion of JB Silks. Fabric that does not meet JB Silks' return condition requirements will not qualify the buyer for any credit or refund. All costs associated with any return to JB Silks — including but not limited to insurance, packaging, brokerage, tariffs, import/export costs, and any other costs or delays — shall be borne by the buyer.

SECTION 32 - RETURN OF SAMPLES
JB Silks sells only the highest quality silk fabric at the best possible price and offers samples at a price which barely covers the cost of manufacture and assembly in the USA. All sample sales are therefore final. JB Silks will not under any circumstances accept the return of any sample swatch or ½-yard cut.

SECTION 33 - RETURN OF SHORT CUTS: UNDER 12 CONTINUOUS YARDS
All sales under 12 continuous yards are final sales and cannot be returned. All unauthorized returns will be refused by JB Silks. A restocking fee of 25% of the value of the goods may apply if JB Silks agrees to accept a return. JB Silks reserves the right to treat all returns on a case-by-case basis. All transport costs shall be the responsibility of the buyer.

SECTION 34 - RETURN OF 12 CONTINUOUS YARDS OR MORE
Sales of 12 continuous yards or more per color of a single fabric type that are not custom dyed or printed to specification may be returned with JB Silks' prior written permission only. The buyer must notify JB Silks in writing within 5 business days of receiving the fabric. No return will be accepted without prior written consent from JB Silks. A restocking fee of up to 25% of the value of the goods may apply. JB Silks reserves the right to treat all returns on a case-by-case basis. All transport costs shall be the responsibility of the buyer.

SECTION 35 - LIMITATIONS OF SELLER'S LIABILITY
JB Silks' liability on any claim of any kind, including negligence, with respect to the goods or services covered hereunder shall in no case exceed the price of the goods or services or part thereof which gives rise to the claim. In no event shall JB Silks be liable for special, incidental or consequential damages, or for damages in the nature of penalties. In the case of goods manufactured in a foreign country, the standards of quality shall be those applied in the country of manufacture.

SECTION 36 - FORCE MAJEURE
JB Silks shall not be liable for delay or other failure of performance due to causes beyond its reasonable control, including without limitation acts of God, acts of the buyer, acts of military or civil authorities, fire or other casualties, strikes, lockouts, weather, epidemic, war, riot, delays in transportation, government regulations, or inability to obtain necessary labor, materials, components, equipment, services, energy or utilities through JB Silks' usual and regular sources at usual and regular prices. In any such event JB Silks may, at any time without further liability to the buyer: (A) postpone performance under this contract, (B) make partial performance or cancel all or any portion of this contract, or (C) allocate available quantities among its customers in any manner which JB Silks deems reasonable. Cancellation of any part of this contract shall not affect the buyer's duty to pay for performance of any other part hereof.

SECTION 37 - SHIPPING ERRORS
If JB Silks ships the wrong fabric or color, the customer must notify JB Silks in writing at info@jbsilks.com within 5 business days of receiving the order. JB Silks will provide a prepaid return shipping label for the return of the original fabric. The method and timing of the replacement shipment is at JB Silks' sole discretion and will be handled on a case-by-case basis.

SECTION 38 - MISCELLANEOUS
This contract constitutes the entire agreement between the buyer and JB Silks relating to the goods or services covered hereunder. No modifications shall be binding upon JB Silks unless in a writing signed by JB Silks' duly authorized representative. No waiver by JB Silks of default by the buyer shall be deemed a waiver of any subsequent default.
